An ADR is a form of negotiable certificate evidencing ownership of shares in a foreign company. They are attractive to US investors because they are quoted and traded in US dollars and are governed by US trading and settlement procedures. ADRs minimize the transaction cost to investors, thereby enhancing liquidity. The underlying shares that ADRs represent remain on deposit in the issuer's home market.
